A Benefit Corporation, or B-Corp, is a type of for-profit corporation that provides the highest standard of social and environmental transparency, accountability and corporate purpose. Recently New Hampshire passed legislation allowing B-Corps. Status as a B-Corp mandates that company directors consider society and environmental good as well as profits, in their decision making.Traditional corporations contrast with B-Corps in that their officers have a fiduciary duty to maximize shareholder wealth (period!). Reasons a company might register as a B-Corp include marketing purposes or protecting the founder/company’s social mission. Standard corporate taxation generally applies to a B-Corp.
